Incorporating companies like CorpCo.com provide registered agents to act as the official representative of any business that chooses to incorporate. A company that chooses to incorporate in Delaware must have a registered agent in Delaware. If a company wants to incorporate in Nebraska, then they would need to have a registered agent in Nebraska. Registered agents provide these companies with a business address. If incorporating companies like CorpCo.com didn’t exist in Delaware, then we would see office buildings of thousands upon thousands of companies in the state.
Here are a few major reasons to incorporate in Delaware:
-There is no corporate income tax for companies that don’t conduct business in the state.
-There is no sales tax and shares of stock are not subject to any Delaware tax.
-It’s the only state which maintains a special court system dedicated to addressing the concerns of the corporate/business community. The Delaware Court of Chancery is a “pro-business” court system that employs a Judge rather than a jury.
-There is no minimum capital requirement, while other states require a minimum of $1,000.

Did you know that Delaware is the first state? It’s the 39th for me. I had the chance to meet the Governor of the first state today. I went down to Dover to learn more about incorporating in Delaware and how the court system works and ended meeting the Governor.

Why did you choose this career to represent Delaware?
Delaware is the corporate capital of the world. Most Fortune 500 companies have chosen to incorporate in the State of Delaware. Many people think the number one reason is because of the tax laws, but it's actually because of the court system. I am working as an Incorporating Specialist.
